Terms of Service

1. Agreement

By creating an account or using Capplyn ("the Service"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service. "We," "us," and "our" refer to Capplyn LLC. "You" refers to the person or entity using the Service.

2. What Capplyn Does

Capplyn is an AI-powered service that builds native mobile applications based on your input. We generate code, designs, app icons, App Store listings, and related materials, then compile and submit the app to app stores on your behalf using your developer credentials.

3. Ownership — Your App Belongs to You

You own the app we build for you. All generated source code, designs, assets, and content created through the wizard are yours. We grant you a perpetual, irrevocable, worldwide license to use, modify, distribute, and sell the app and its source code however you see fit.

Source code is stored in a GitHub repository created under your direction. You may export, fork, or transfer this repository at any time. If you cancel your subscription, your code remains in that repository — we don't delete it.

We retain no ownership interest in your app, its code, or its content. We do not claim any royalty, revenue share, or equity in apps built with Capplyn.

4. What We Retain Rights To

We retain ownership of: the Capplyn platform, website, wizard interface, AI prompts, scaffold templates, build infrastructure, and our brand assets. You may not copy, resell, or redistribute the Capplyn service itself.

5. Your Responsibilities

You agree that:

• You will not use the Service to build apps that are illegal, fraudulent, or violate the rights of others
• You will not build apps that distribute malware, spam, or harmful content
• You are solely responsible for your app's content, functionality, and compliance with applicable laws
• You are responsible for maintaining your own Apple Developer and/or Google Play accounts and complying with their terms
• You will not share, resell, or sublicense your Capplyn account
• You will provide accurate information during the wizard and account setup
• Any developer credentials you provide are valid and you have authority to use them

6. Your App, Your Liability

You are solely responsible for your app and everything it does. This includes (but is not limited to):

• Compliance with Apple App Store and Google Play policies
• Compliance with all applicable laws, including privacy laws (GDPR, CCPA, etc.)
• Any in-app purchases, subscriptions, or payments your app processes
• User data your app collects or processes
• Content displayed in your app
• Any intellectual property claims related to your app's name, content, or functionality
• Providing customer support to your app's users
• Your app's privacy policy and terms of service

We build the app based on your instructions. We do not review your app for legal compliance, intellectual property issues, or policy violations. That responsibility is yours.

7. Indemnification

You agree to indemnify and hold harmless Capplyn LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your app and its content, functionality, or use by end users
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any dispute between you and your app's users

8. Payment & Billing

Build My App ($99 one-time): A one-time payment that covers the full wizard, app build, App Store submission, and your first month of Improve Chat. This payment is non-refundable once we begin building your app (after the Design phase).

Keep It Running ($19/month): An optional monthly subscription starting in month two. Includes ongoing Improve Chat access, OTA updates, and one native rebuild per month. You can cancel anytime.

Message Packs ($9 for 50 messages): One-time purchases that never expire. Non-refundable.

All payments are processed by Stripe. Prices are in USD. We may change pricing for new customers, but your existing subscription rate is locked unless we give 30 days' notice.

9. What Happens When You Cancel

If you cancel your Keep It Running subscription:

• Your app stays live on the App Store — we don't pull it
• Your source code stays in your GitHub repository — we don't delete it
• You lose access to Improve Chat and new builds through Capplyn
• Unused message credits remain available if you resubscribe
• You can still modify your app independently using the source code

We do not hold your app hostage. You own the code and can take it anywhere.

10. Refund Policy

The Design phase of the wizard is free. If you decide not to proceed after seeing your app's design, you pay nothing.

Once you pay the $99 Build My App fee and we begin the build process, the payment is non-refundable — we've already incurred compute, AI, and infrastructure costs on your behalf.

If we fail to deliver a working app due to a fault on our end (not an App Store rejection for content/policy issues, which is your responsibility), we will issue a full refund.

11. Limitation of Liability

To the maximum extent permitted by law, Capplyn LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We provide the Service "as is." We do not guarantee that your app will be approved by Apple or Google, that it will generate revenue, or that it will be free of bugs. We do our best — but software is complex and app store reviews are outside our control.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. AI-Generated Content

Your app is built using AI. While we work to ensure quality, AI-generated code and content may contain errors, unexpected behavior, or limitations. You should test your app thoroughly before and after launch. We are not liable for issues caused by AI-generated code.

14. Account Termination

We may suspend or terminate your account if you violate these Terms, use the Service for illegal purposes, or abuse the platform. If we terminate your account, you retain access to your source code repository.

You may delete your account at any time by contacting us. We will delete your personal data within 30 days per our Privacy Policy.

15. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or a notice on the website at least 30 days before they take effect. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
